Live · swept from SEC EDGAR daily

Pre-Announcement Radar

When a private round closes, the company must file a Form D with the SEC — typically weeks before any press release. We sweep every filing on EDGAR daily and match them to the companies we track, so you see the round at the filing, not at the announcement.

Offered vs. sold

“Offered” is the ceiling the company registered. “Sold” is what investors have already committed at filing time. A high sold ratio means the round is largely done — quietly.

Fully subscribed = a closed, unannounced round

When sold equals offered, the raise is complete. Everything after that — the press release, the coverage — is choreography. You are reading it here first.

Versus the last round

Each filing is compared against the company’s last round in our database. A filing several times the last round signals acceleration; a small one can signal a bridge.
